Partner Agreement

Terms and conditions governing partnerships on the Origin Collective platform. Effective from 2 April 2026.

Partner Agreement

1.Appointment

Origin Collective is appointed as the exclusive commercial sales agent for the Partner's listed products on the Origin Collective marketplace. The Partner retains the right to pursue direct commercial deals and placements not listed on the marketplace. This agreement does not prohibit the Partner from working with other platforms or agents, provided no direct conflicts arise with campaigns booked through Origin Collective.

2.Revenue Share

Origin Collective retains a management fee from each campaign booking, with the remainder paid to the Partner. The standard revenue split is 80% to the Partner and 20% to Origin Collective. This split may vary based on individual agreements negotiated at onboarding. All agreed rates will be documented and confirmed in writing before any campaign is booked.

3.Partner Payments

Origin Collective pays the Partner within 14 days of receiving full payment from the client. No advance payment or deposit is made to the Partner until the full campaign balance has been received from the brand. Payment is processed via bank transfer to the account specified in the Partner's portal profile.

4.Campaign Deliverables

The Partner agrees to deliver content according to the brief provided, on time, and to the standard agreed at the time of campaign confirmation. All content must be delivered through the Partner portal before it goes live. Failure to deliver content to brief specification or by the agreed deadline may result in payment withholding or campaign cancellation, at Origin Collective's discretion.

5.Review and Approval

The brand has one round of consolidated feedback on the submitted content. The Partner must make agreed changes within 5 working days of receiving feedback. Origin Collective coordinates all feedback between the Partner and the brand. If disputes arise over requested changes, Origin Collective will mediate and make a final determination.

6.Content Rights

The brand receives a non-exclusive licence to use and repurpose the content across their owned channels for 12 months from the live date, unless a different term is agreed in the campaign brief. The Partner retains copyright ownership of the content and may use it for portfolio and promotional purposes (with brand consent). After the licence period expires, the brand may no longer use the content commercially without further agreement.

7.Brand Safety

The Partner must not post content that would be considered discriminatory, offensive, or in breach of Advertising Standards Authority (ASA) guidelines. All sponsored content must be clearly disclosed as #ad or #sponsored as per current FTC and UK advertising regulations. Content containing political, religious, or sensitive social commentary must be flagged to Origin Collective in advance for approval.

8.Conduct

The Partner must not take actions that would damage the reputation of Origin Collective, the brand, or the campaign. This includes public criticism of either party, breach of confidentiality, or failure to fulfil contractual obligations. Any disputes should be raised directly with Origin Collective's partner team. Repeated misconduct may result in suspension or permanent removal from the platform.

9.Termination

Either party may terminate this agreement with 30 days written notice. Any active campaigns at the time of termination must be fulfilled to completion by the Partner, with payment processed as normal. Origin Collective reserves the right to terminate this agreement immediately in cases of serious misconduct, repeated non-delivery, breach of brand safety guidelines, or any action that damages the platform's reputation.

10.Leave Request

Partners wishing to leave the platform should submit a written leave request through their Partner portal. The request will be reviewed within 5 working days. Partners must complete all active campaigns before their departure is finalised. Origin Collective will endeavour to transition any incomplete work to alternative partners or with the Partner's assistance.

11.Governing Law

This agreement is governed by the laws of England and Wales. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt informal resolution before pursuing formal legal proceedings.

12.Amendments

Origin Collective may update these terms with 30 days written notice. Continued use of the Partner portal constitutes acceptance of the updated terms. The Partner will be notified of any material changes via email and through a notification in their portal dashboard.
